1. Permitted Use & Software Nature

NINJA-AI is developed and distributed exclusively as an AI Meeting Assistant, Real-Time Notetaker, Communication Copilot, and Interview Preparation Utility. The software provides automated transcription, real-time contextual suggestions, and supplemental reference notes to enhance personal productivity.

Your purchase or subscription grants you a personal, revocable, non-exclusive, non-transferable license to operate the application on your personal device solely for lawful educational, productivity, and preparation purposes.

2. User Responsibility & Third-Party Policy Adherence

You acknowledge and agree that you are solely responsible for how you choose to deploy and operate NINJA-AI on your systems:

• Employer & Institutional Policies: You bear 100% of the responsibility to review and comply with all applicable employment agreements, institutional guidelines, academic honor codes, non-disclosure agreements (NDAs), and interview conduct policies.
• Independent Tool Utilization: NINJA-AI is an independent software tool. We make no representations regarding third-party compliance, and we disclaim all responsibility for decisions or actions taken by third-party employers, interviewers, or educational platforms.
• Outcome Disclaimers: NINJA-AI does not guarantee employment offers, interview success, or academic grades. Your operational outcomes rest entirely upon your own merits and discretion.

3. Audio Recording & Two-Party Consent Notice

Certain features of NINJA-AI process live system audio for transcription and contextual assistance. You acknowledge that audio recording laws vary by jurisdiction:

• Two-Party / All-Party Consent: In jurisdictions requiring multi-party or all-party consent (such as California, Florida, Massachusetts, Germany, and others), you warrant and represent that you have informed all meeting participants and obtained all mandatory permissions before enabling audio transcription or capture.
• Local Legal Compliance: It is your sole obligation to ensure that your activation of microphone or speaker audio features adheres strictly to all regional wiretapping, privacy, and audio recording statutes.

4. System Integrity & Anti-Tampering Restrictions

You strictly agree that you shall NOT:

• Reverse-engineer, decompile, disassemble, or attempt to extract source code or proprietary models from the NINJA-AI application.
• Modify or deploy the software to bypass, inject into, or disrupt secured proctoring software, kernel-level anti-cheat platforms, or encrypted digital rights management (DRM) systems.
• Resell, sublicense, or share your account credentials with unauthorized third parties.
• Deploy the service in any manner that violates applicable federal, state, or international cybersecurity laws.

5. Artificial Intelligence Accuracy Disclaimer

NINJA-AI utilizes probabilistic large language models and neural speech recognition architectures. Outputs are generated computationally and may occasionally contain inaccuracies, hallucinations, or contextual mismatches. NINJA-AI provides generated suggestions strictly "AS-IS" and holds no liability for the accuracy, completeness, or consequences of relying on generated outputs.

6. Comprehensive Indemnification

You agree to defend, indemnify, and hold completely harmless NINJA-AI, Inc., its founders, officers, developers, and affiliates from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of the NINJA-AI software in any external setting.
• Any breach by you of these Terms of Service or any third-party agreements (including employer or interview policies).
• Any claim that your audio or screen capture violated local privacy, consent, or wiretapping laws.

7. Binding Arbitration & Dispute Resolution

Any controversy or claim arising out of or relating to these Terms or the use of NINJA-AI shall be resolved exclusively through confidential, binding individual arbitration. Both parties explicitly waive their rights to participate in class-action lawsuits or jury trials.
