These Terms of Service function as a legally binding framework between NINJA-AI, Inc. ("NINJA-AI") and the individual or corporate entity ("Customer" or "User") initiating a subscription or exploiting the Software. If you engage with this platform using credentials associated with a corporate employer, you explicitly warrant that you possess the agency to bind said employer to these statutes.

Upon your preliminary access to the software—or upon finalizing a subscription checkout—this agreement goes into immediate effect. By proceeding with the NINJA-AI platform, you confirm your absolute acceptance of the directives encapsulated in this document. If these rules are disagreeable, you must cease all utilization of the Services instantly.

1. Core Obligations & Definitions

The software, intellectual property, interface components, and proprietary algorithms encapsulated in the NINJA-AI ecosystem remain the exclusive property of NINJA-AI, Inc. Your subscription constitutes a limited, non-transferable, and revocable license to utilize the toolkit strictly for your internal operational needs.

2. Usage Restrictions

Under no circumstances shall you:

• Reverse-engineer, decompile, or attempt to extract the source logic of the NINJA-AI engine.
• Commercialize, sublease, or resell access to the platform to undocumented third-party entities.
• Utilize automated scraping architectures, spiders, or bots to mine out platform data matrices.
• Deploy the service to violate state, federal, or international cyber regulations (including surreptitious wiretapping or unlawful recording protocols where prohibited).

3. Artificial Intelligence Disclaimer

NINJA-AI leverages highly complex synthetic intelligence architectures (including large language topologies) to provide automated insight generating ("Output"). The User acknowledges that AI is fundamentally probabilistic; therefore, NINJA-AI holds no warranty regarding the flawless accuracy, relevance, or factual purity of generated text. You deploy our Output entirely at your own discretion.

4. Payment Architecture

Your access is contingent on the timely settlement of recurring premium invoices. Delinquent accounts failing to clear gateways within five (5) days post-notification risk immediate systemic suspension without prejudice to NINJA-AI. All incurred taxes natively forced by your regional government remain your isolated burden to solve.

5. Universal Warranties & As-Is Provision

THE PLATFORM IS LICENSED TO YOU ON AN ABSOLUTELY "AS-IS" AND "AS-AVAILABLE" FOUNDATION. NINJA-AI WHOLLY DENIES ALL STATUTORY, EXPLICIT, OR IMPLIED WARRANTIES, TO THE MAXIMUM THRESHOLD PERMITTED BY LAW. THIS INCLUDES ANY ASSURANCE OF ERROR-FREE OPERATION, SYSTEM UPTIME, FITNESS FOR A UNIQUE OBJECTIVE, OR MERCANTILE RELIABILITY.

6. Indemnification

You agree to aggressively defend, indemnify, and hold NINJA-AI completely harmless from any litigation, penalties, or external claims aggressively lobbied against us in correlation to your distinct misuse of the service, breach of these statutes, or unlawful distribution of restricted data outputs.

7. Binding Arbitration Agreement

In the event of a significant dispute, to bypass protracted and expensive judiciary proceedings, both NINJA-AI and the User agree to resolve grievances securely through binding, individualized arbitration.

BOTH PARTIES SURRENDER THEIR FUNDAMENTAL CONSTITUTIONAL RIGHT TO CONVENE BEFORE A TRADITIONAL JURY IN A COURTROOM. ALL CONFLICTS MUST BE SETTLED EXCLUSIVELY ON AN INDIVIDUAL BASIS—CLASS ACTION LAWSUITS ARE STRICTLY FORBIDDEN.
